Acceptance of Terms

By accessing or using the website located at www.lithtex.com (the “Site”), you agree to be bound by these Terms of Use (“Terms”). These Terms apply to all visitors, customers, and others who access or use the Site. If you do not agree to these Terms, please do not use the Site.

Lithtex, Inc. (“Lithtex,” “we,” “us,” or “our”) reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Site. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Site. Prohibited uses include:

• Transmitting any unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable material
• Uploading files that contain viruses, malware, or any other harmful code
• Attempting to gain unauthorized access to any part of the Site or its related systems
• Using the Site in any way that could damage, disable, or impair its functionality
• Submitting false or misleading information through any Site form or submission

Orders and Estimates

Customers may submit print job requests and estimate inquiries through the Site. All estimates provided by Lithtex are non-binding and subject to final confirmation by a Lithtex sales or customer service representative. A binding order is established only upon written confirmation from Lithtex.

Payment for confirmed orders is processed via invoice issued by Lithtex following order confirmation. Accepted payment methods include credit card and invoice-based terms as agreed upon between the customer and Lithtex. No payment information is collected or stored through the Site.

Order Cancellations

Customers may request cancellation of a confirmed order at any time by contacting their Lithtex sales or customer service representative. Cancellations are subject to the production status of the order at the time of the request. While Lithtex will make every effort to accommodate cancellation requests, orders that have entered production may not be eligible for cancellation without incurring costs.

Cancellation requests submitted through the Site’s contact form do not constitute a confirmed cancellation. Cancellation is only confirmed upon written acknowledgment from a Lithtex representative.

Print Files, Artwork and Customer Responsibility

Customers submitting print files through the Site are solely responsible for the accuracy, quality, and content of all submitted artwork and files. Lithtex accepts print files in standard formats including PDF, AI, EPS, PSD, PNG, JPG, and other industry-standard print-ready formats. Submission of a file does not guarantee it meets print specifications.

Lithtex customer representatives conduct a general review of submitted files and will make reasonable efforts to identify and communicate significant issues prior to production. However, Lithtex does not warrant that all file defects, resolution issues, color profile mismatches, or content errors will be identified before printing.

Digital proofs are available upon customer request prior to production. Customers who do not request a proof and proceed to print accept full responsibility for the output as produced from the submitted files. Lithtex is not liable for print results arising from customer-supplied artwork that does not meet print specifications.

Print Defects and Lithtex Errors

In the event of a print defect, color error, or production mistake determined to be caused by Lithtex, our standard remedy is to reprint the affected order at no additional charge to the customer. Lithtex reserves the right to determine whether a defect is the result of a production error or customer-supplied file issue.

Claims for defective print jobs must be submitted to your Lithtex representative within a reasonable time following receipt of the order. Lithtex will not be liable for defect claims submitted after production and delivery have been accepted without objection.

Shipping and Delivery

Lithtex ships nationwide using a range of carriers including FedEx, USPS, UPS, courier services, and in-house delivery where available. Carrier selection is at Lithtex’s discretion unless otherwise agreed in writing. Rush and expedited shipping options are available for an additional fee, subject to production capacity and carrier availability at the time of order.

Estimated delivery times are provided as a courtesy and are not guaranteed. Lithtex is not liable for delays caused by carriers, weather, or other circumstances beyond our reasonable control.

In the event of shipment damage or loss in transit, Lithtex will work with the customer and the carrier on a case-by-case basis to reach a reasonable resolution. Customers should inspect all shipments upon delivery and report damage or shortage to their Lithtex representative promptly.

Intellectual Property

Customer-Submitted Artwork

Customers retain full ownership of all artwork, files, and intellectual property submitted to Lithtex for printing. By submitting files, the customer represents and warrants that they have the legal right to reproduce the submitted content and that the content does not infringe the intellectual property rights of any third party.

Lithtex assumes no responsibility for intellectual property infringement arising from customer-submitted artwork. The customer agrees to indemnify and hold Lithtex harmless from any claims, damages, or expenses arising from the reproduction of customer-supplied content.

Lithtex Portfolio Rights

Lithtex may photograph or display printed samples of completed work for portfolio, marketing, and promotional purposes only with the prior written or documented permission of the customer.

Site Content

All content on this Site, including text, graphics, logos, images, and software, is the property of Lithtex, Inc. or its content suppliers and is protected by applicable intellectual property laws. Users may download and print materials from the Site for personal, non-commercial reference only. Any other use requires express written permission from Lithtex.

Quality Standards and Certifications

Lithtex, Inc. is G7 certified, reflecting our commitment to consistent, accurate color reproduction across print processes. While we maintain rigorous quality standards, color accuracy is subject to the quality and color profiles of customer-submitted files, substrate selection, and inherent variations between print runs.

Customers requiring specific color matching or proofing should discuss their requirements with their Lithtex representative prior to production.

Disclaimer of Warranties

The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. Lithtex does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by applicable law, Lithtex disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by applicable law, Lithtex, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services, even if Lithtex has been advised of the possibility of such damages.

In no event shall Lithtex’s total liability to you for any claims arising out of or related to these Terms or our services exceed the total amount paid by you to Lithtex for the order giving rise to the claim in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Lithtex, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

In the event of any dispute arising out of or relating to these Terms or your use of the Site or Lithtex’s services, the parties agree to first attempt to resolve the dispute through good-faith informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through the appropriate courts of competent jurisdiction located in Washington County, Oregon.

You consent to the personal jurisdiction of the state and federal courts located in Washington County, Oregon for the resolution of any disputes.

Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

Changes to These Terms

Lithtex reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Your continued use of the Site after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
